Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you and krowd, Inc. ("krowd," "we," "us," or "our") governing your access to and use of the krowd platform and all related features, tools, and services (collectively, the "Service"). By creating an account, accessing the Service, or clicking "I agree," you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to do so.

1. Acceptance of Terms

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. If you do not agree to these Terms, you may not access the Service.

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice by email or by posting a prominent notice on the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date of the changes.

2. Description of Service

krowd is a software-as-a-service (SaaS) platform designed to help event organizers plan, promote, manage, and follow up on events of all sizes. The Service includes tools for event creation, attendee registration, email and SMS communications, check-in management, reporting, and related features.

krowd operates on a flat-subscription model. We do not charge per-ticket fees or transaction percentages on attendee registrations. Organizers pay a fixed subscription fee for access to the platform, regardless of the number of events they run or attendees they manage within their plan's limits.

We may update, improve, or discontinue features of the Service at any time. We will endeavor to provide reasonable notice before discontinuing any material feature.

3. Account Registration and Responsibilities

To access the Service you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must promptly notify us at hello@krowdiq.com if you suspect unauthorized access to or use of your account. krowd will not be liable for any loss or damage arising from your failure to protect your account credentials.

You may not share your account with others, create accounts on behalf of third parties without their consent, or use automated means to create accounts. Each account may only be associated with one individual or organization unless you are using a team plan that expressly permits multiple users.

4. Payment and Subscription Terms

Subscription plans. krowd offers monthly and annual subscription plans. Plan features, limits, and pricing are described on our pricing page at krowdiq.com/pricing and are subject to change with advance notice as described in Section 1.

Billing. By subscribing, you authorize krowd (through our payment processor, Stripe) to charge your payment method on a recurring basis at the frequency corresponding to your chosen plan (monthly or annually) until your subscription is cancelled. Subscription fees are charged in advance at the start of each billing period.

Taxes. Stated prices do not include applicable taxes. You are responsible for all taxes, duties, or other governmental levies associated with your purchase, excluding taxes on krowd's net income.

No refunds on current period. Subscription fees are non-refundable. If you cancel your subscription, you will retain access to the Service until the end of your current billing period, after which your account will be downgraded or closed. We do not issue prorated refunds for unused portions of a subscription period.

Cancel anytime. You may cancel your subscription at any time through your account settings or by contacting us at hello@krowdiq.com. Cancellation takes effect at the end of the current billing period. We do not charge cancellation fees.

Failed payments. If a payment fails, we will notify you and attempt to reprocess the charge. If payment cannot be collected after reasonable attempts, we reserve the right to suspend or terminate your account. You remain responsible for any outstanding amounts.

Annual plan upgrades and downgrades. If you upgrade from a monthly to an annual plan, the annual fee will be charged immediately and your billing cycle will reset. Downgrading from annual to monthly will take effect at the end of your annual period.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates applicable local, state, national, or international laws or regulations.
  • To send unsolicited commercial messages (spam) or to collect personal information from attendees without their consent and a disclosed lawful basis.
  • To transmit any material that is defamatory, obscene, fraudulent, harassing, or otherwise objectionable.
  • To attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
  • To reverse engineer, decompile, disassemble, or attempt to derive source code from any part of the Service.
  • To use automated scripts, scrapers, or bots to access or interact with the Service in ways not expressly permitted by us.
  • To use the Service in connection with events that promote illegal activity, violence, discrimination, or other harmful content.

We reserve the right to suspend or terminate your account and refuse service to anyone who violates these Terms or whose conduct we believe, in our sole discretion, is harmful to the Service, other users, or third parties.

6. Your Content

The Service allows you to create, upload, and share content including event descriptions, images, registration forms, and communications (collectively, "Your Content"). You retain all ownership rights to Your Content.

By submitting Your Content to the Service, you grant krowd a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and transmit Your Content solely as necessary to provide and operate the Service. This license terminates when you delete Your Content from the Service or close your account, subject to reasonable technical delays.

You represent and warrant that you have all necessary rights to Your Content, that it does not infringe any third-party intellectual property rights, and that it complies with these Terms and all applicable laws.

7. Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of krowd, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of krowd.

Nothing in these Terms transfers any ownership of the Service or krowd's intellectual property to you. You receive only the limited license described herein.

If you submit ideas, suggestions, or feedback about the Service ("Feedback"), you grant krowd a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose without compensation or attribution to you.

8. Third-Party Services and Links

The Service may integrate with or link to third-party websites, applications, or services (such as payment processors, email providers, and calendar platforms). These third-party services are governed by their own terms of service and privacy policies. krowd is not responsible for the practices, content, accuracy, or availability of third-party services. Your use of third-party services is at your own risk.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

krowd does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components, or that defects will be corrected. We do not warrant that the results obtained from use of the Service will be accurate or reliable.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KROWD, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF KROWD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL KROWD'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KROWD IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100 USD).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless krowd, Inc. and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under or related to these Terms or the Service shall be brought exclusively in the federal or state courts located in Delaware, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

Before filing any formal legal action, you agree to contact krowd at hello@krowdiq.com and attempt to resolve the dispute informally for a period of at least 30 days. This does not prevent either party from seeking emergency injunctive relief.

13. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or if we have good cause to do so in order to protect the Service or other users. Upon termination, your right to use the Service will immediately cease.

Provisions of these Terms that by their nature should survive termination — including Sections 7 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), and 12 (Governing Law) — shall survive.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and krowd regarding the Service and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
